The offering of the Unsold Securities was deemed terminated as of December 15, 2017. The Registrant previously offset $18,675 against the Previous Registration Fee in connection with the Registrant’s Registration Statement on Form S-3 (File No. 333-222093) filed with the Securities and Exchange Commission on December 15, 2017 and declared effective on January 5, 2018.

This Registration Statement on Form S-8, relating to the 2011 Stock Incentive Plan of Merrimack Pharmaceuticals, Inc. (the “Registrant”), is being filed for the purpose of registering additional securities of the same class as other securities for which a Registration Statement on Form S-8 has previously been filed and is effective.
