Item 4.01. Changes in Registrant’s Certifying Accountant.

The Audit Committee (the “Audit Committee”) of the Board of Directors of Merrimack Pharmaceuticals, Inc. (the “Company”) has completed the process to identify and appoint a successor independent registered public accounting firm of the Company for the fiscal year ending December 31, 2019. As a result of this process, on July 24, 2019, the Audit Committee engaged Marcum LLP.

During the Company’s fiscal years ended December 31, 2017 and 2018 and the subsequent interim period through July 24, 2019, neither the Company nor anyone on its behalf has consulted with Marcum LLP on any matter that:

 

  (i)

involved the application of accounting principles to a specified transaction, either completed or proposed, or the type of audit opinion that might be rendered on the Company’s financial statements, and neither a written report nor oral advice was provided to the Company that Marcum LLP concluded was an important factor considered by the Company in reaching a decision as to any accounting, auditing or financial reporting issue; or

 

  (ii)

was either the subject of a “disagreement” (as such term is defined in Item 304(a)(1)(iv) of Regulation S-K and the related instructions to Item 304 of Regulation S-K) or a “reportable event” (as such term is defined in Item 304(a)(1)(v) of Regulation S-K).
